Terms of Service

1. Agreement

These terms are a contract between Cargo-Stack Technology Limited ("Cargo-Stack", "we") and the business that creates a workspace ("you", "customer"). By creating an account or using the service you accept these terms on behalf of your business. The service is offered to businesses, not consumers.

2. The service

Cargo-Stack is a software platform for freight forwarders: AI-assisted inquiry parsing, quotation drafting and pricing, rate management, bookings and tracking, document generation, tender pricing, analytics and related tools. We continually improve the service; features may be added, changed or retired.

3. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your workspace. One workspace per business unless otherwise agreed.

4. Trial, plans and fees

• New workspaces receive a 14-day free trial with full features; no payment details are required to start.
• Paid plans (currently Starter, Growth, Scale/Custom) are billed monthly in advance at the published or separately agreed price. Monthly usage allowances ("files") apply per plan.
• Annual terms are available: pay for ten months and receive twelve. An annual term is paid in advance and is not refundable for the unused portion, except where required by law.
• Payment is by the methods we communicate (bank transfer/FPS, and card where available). Access continues while payments are current; unpaid workspaces may be placed in a restricted state after the trial/grace period. Your data is retained and access resumes on payment.
• You may cancel anytime, effective at the end of the paid period. Fees already paid are non-refundable except where required by law.
• Credits and referrals. We may issue account credit — from one-off top-up packs, referrals, or goodwill. Credit reduces a future invoice and is never redeemable for cash and never a payout. Under our referral programme, a new workspace that enters a valid referral code receives credit off its first invoice, and the introducing workspace receives credit once the introduced workspace has paid the qualifying amount we publish; the reward is capped per rolling twelve months, one introducer per workspace, and you may not refer yourself or an account you control. We may withhold or reverse credit obtained through error, abuse, or circumvention of these rules. Programme terms and amounts are as published in the product and may change on notice for future referrals.

5. Your data

Your rates, quotes, contacts and shipment data belong to you. You grant us the licence needed to host and process that data solely to provide the service. Workspaces are tenant-isolated; your pricing is never shown to another customer, and any cross-customer benchmarking would be aggregate-only and opt-in. On written request after termination we will delete your workspace data, subject to legal retention obligations. See our Privacy Policy.

6. AI outputs — your review is required

The service uses artificial intelligence to read documents and draft quotations, prices, documents and messages. AI outputs are drafts and decision support, not advice: they can contain errors, and market/rate information is indicative only. You are responsible for reviewing every quotation, price, document and message before relying on it or sending it — including where you enable automatic sending, which operates under thresholds you configure. Quotations you issue are between you and your customer; we are not a party to your freight contracts and are not a freight forwarder, carrier or broker.

7. Acceptable use

No unlawful use, no infringing or harmful content, no attempts to breach security or tenant isolation, no reselling of the service without our agreement, and no use of the service to send spam. Usage allowances are subject to fair use; we may throttle abusive automated traffic.

8. Availability

The service is provided on a commercially reasonable-efforts basis. Planned maintenance and third-party outages (hosting, AI providers, email carriers) can interrupt service. The service is provided "as is" and we disclaim implied warranties to the extent permitted by law.

9. Intellectual property

The platform, its software, design and branding are owned by Cargo-Stack Technology Limited or its licensors. These terms grant you a non-exclusive, non-transferable right to use the service for your business during your subscription.

10. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only for purposes of this agreement.

11. Liability

To the maximum extent permitted by law: we are not liable for indirect, consequential or special losses (including lost profits, lost cargo bookings, demurrage, or losses caused by decisions made on AI outputs); and our total aggregate liability under these terms is capped at the fees you paid to us in the three months before the event giving rise to the claim. Nothing limits liability that cannot be limited under Hong Kong law.

12. Termination

You may stop using the service at any time. We may suspend or terminate for material breach (including non-payment) with reasonable notice where practicable. Sections that by nature survive (data, confidentiality, liability, governing law) survive termination.

13. Changes

We may update these terms; material changes will be notified in the console or by email, and continued use after the effective date constitutes acceptance.

14. Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region, and the parties submit to the non-exclusive jurisdiction of the Hong Kong courts.
